These terms and conditions ("Terms") govern your use of the Mixpeek LLC ("Mixpeek") API service (the "Service"). By using the Service, you agree to be bound by these Terms.
Mixpeek grants you a non-exclusive, non-transferable, revocable license to access and use the Service, subject to these Terms. You may not use the Service for any unlawful or unauthorized purpose.
Mixpeek may charge fees for the use of the Service. The fees and payment terms will be set forth in a separate agreement between you and Mixpeek.
The Service and its contents, including but not limited to text, graphics, logos, and images, are the property of Mixpeek or its licensors and are protected by copyright, trademark, and other laws. You may not use the Service or its contents for any commercial purpose without the prior written consent of Mixpeek.
Mixpeek may terminate your access to the Service at any time, without cause or notice. Upon termination, you must cease all use of the Service and destroy all copies of any Mixpeek content in your possession.
The Service is provided on an "as is" and "as available" basis. Mixpeek makes no representations or warranties of any kind, express or implied, regarding the Service or its contents, including but not limited to warranties of accuracy, completeness, reliability, or fitness for a particular purpose.
To the maximum extent permitted by applicable law, Mixpeek and its affiliates, officers, directors, employees, agents, and licensors will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use or inability to use the Service, even if Mixpeek has been advised of the possibility of such damages.
You agree to indemnify and hold harmless Mixpeek and its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or your violation of these Terms.
These Terms will be governed by and construed in accordance with the laws of the state of Delaware, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or in connection with these Terms will be brought in the federal or state courts located in Delaware, and each party irrevocably submits to the jurisdiction and venue of such courts.
These Terms constitute the entire agreement between you and Mixpeek with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Mixpeek.
Mixpeek may revise these Terms from time to time without notice. By continuing to use the Service after any such revisions, you agree to be bound by the revised Terms.
